Mega Fund and USD 857.9 million: what investment ecosystem awaits a digital company?
The Ministry of Industry and Technology’s 2025 Institutional Financial Status and Expectations Report set one more investment target next to the digital company (dijital şirket) scheme: once work on the Regulation on Participation in Venture Capital Funds is complete, a Mega Fund call focused on Series A and Series B rounds will open (Bigpara/DHA-AA, 7-8 September 2025). The same report carried KPMG Türkiye’s figures for the second quarter of 2025: 46 deals and USD 857.9 million in the Turkish startup ecosystem. As of October 2026, when this article was updated, the Ministry had not published its digital company definition.
What this means for you: a digital company is not born into an empty field but into an investment ecosystem with known numbers. Most of the volume sits in acquisitions; by deal count, SaaS and artificial intelligence lead. The digital footprint an investor looks for in a new company can be built today, without waiting for the definition.
Which investment picture is the digital company born into in 2025, and what did KPMG’s data show?
KPMG Türkiye’s second-quarter 2025 data reached the news in the same days as the Ministry’s report. The picture comes down to three numbers: 46 deals, USD 857.9 million, and 82% of the volume in acquisitions. Early-stage deals made up 14% of the volume.
Domestic investors lead by deal count, foreign investors by volume
According to KPMG’s data, domestic investors lead in the number of deals and foreign investors lead in volume. Domestic funds make many small investments while foreign capital writes the big cheques. A new company will most likely raise its first round from a domestic investor.
Early stage at 14%: the new company’s share is small but real
The early-stage slice looks small by volume, yet most of the companies that raised money are in it. The tech startup the digital company scheme targets is exactly the candidate for this slice.
What is the Mega Fund, and which timeline did the Ministry’s report target?
The Mega Fund is a venture capital target mentioned in the Ministry’s report alongside the digital company scheme. The call will open once work on the Regulation on Participation in Venture Capital Funds is complete, and it will focus on Series A and Series B rounds. The news gave no date for the call.
Regulation first, call later: the timeline is uncertain
The report said the call depends on completing the regulation. In the same Ministry report, the digital company scheme was targeted by the end of the year; that target was missed. There is no firm date for the Mega Fund either.
Venture-friendly instruments in the April 2026 package
On 27 April 2026, Minister of Treasury and Finance Mehmet Şimşek announced that stock option plans and venture-capital-friendly financing instruments would be developed to work together with the digital company regime (Diken, 27 April 2026). The package as a whole, and what it brings to founders, is covered separately in our article on the reform package and stock options.

What does the weight of SaaS, AI and gaming tell a digital company?
BU BÖLÜMÜN ÖZETİ
- SaaS leads with 10 deals: the product is sold by subscription
- AI 8, gaming 7: two fields whose customers know no borders
- Marketplaces and fintech with 5 deals each: consistent company information is a must
The sector breakdown in KPMG’s data is clear: SaaS 10, artificial intelligence 8, gaming 7, marketplaces 5 and fintech 5 deals. What the five sectors share is that both the product and the customer are online.
SaaS leads with 10 deals: the product is sold by subscription
SaaS companies sell software by subscription, and the customer uses the product in a browser. In this model the investor measures recurring revenue and churn. That measurement is made with data produced on the company’s own website and dashboard.
AI 8, gaming 7: two fields whose customers know no borders
AI deals came second and gaming third. In both, the product knows no borders and the customer may be abroad. These companies are themselves searched for inside AI tools. That is why the question of why AI does not recommend a new company is part of investment preparation.
Marketplaces and fintech with 5 deals each: consistent company information is a must
Marketplaces and fintech are sectors more bound by regulation. Here the investor checks whether the registry record and the information on the website match. The digital company concept aims at exactly this consistency.
Where does the Turkish startup ecosystem stand in the global picture?
BU BÖLÜMÜN ÖZETİ
- USD 101.05 billion: a shrinking quarter, a selective investor
- Türkiye’s share is small, foreign interest shows in the volume
- Foreign investors read a company on a screen first
In the same quarter, USD 101.05 billion was invested worldwide across 7,356 deals. The previous quarter had 7,551 deals and USD 126.3 billion. While global volume shrank, Türkiye’s USD 857.9 million is a small slice of that picture.
USD 101.05 billion: a shrinking quarter, a selective investor
Global volume fell from USD 126.3 billion to USD 101.05 billion in one quarter, and the deal count dropped from 7,551 to 7,356. Investors are more selective worldwide. A selective investor looks for a company whose product and customers can be measured.
Türkiye’s share is small, foreign interest shows in the volume
Türkiye’s volume is below one percent of the global total. Even so, foreign investors leading in volume shows that capital from abroad is watching companies in Türkiye. The April 2026 package’s promise of remote incorporation for foreign founders also aims to grow this interest.
Foreign investors read a company on a screen first
An investor abroad examines a company in Türkiye not from an office but from a screen. The website, the English pages, structured data and search results form the first impression. Physical hubs are the second step; what Terminal Istanbul will offer digital company members is explained in a separate article.

Which digital footprint does an investor look for in a newly founded digital company?
BU BÖLÜMÜN ÖZETİ
- Domain name and website: in the company’s name, matching the trade name
- Consistent company information: registry, site and accounts should speak the same language
- Measurement data: Search Console and GA4 numbers
- AI visibility: seeing the company in the answers
Before the pitch, the investor types the company’s name into a search engine and an AI tool. What comes up is the company’s digital footprint. That footprint has four parts: domain name and website, consistent company information, measurement data and AI visibility.
Domain name and website: in the company’s name, matching the trade name
If the domain is not registered in the company’s name, the investor notes it as a risk. The website should present the product, the team and the contact details in one place. An AI- and user-friendly site means a page that both a person and an AI can read. If the site opens together with incorporation, the footprint starts the same day.
Consistent company information: registry, site and accounts should speak the same language
Ertan Barut’s company passport proposal aims to share verified company information with investors (Dünya, 28 September 2026). Trade name, address, shareholders and contact details should be identical in the registry, on the site and in the accounts.
Measurement data: Search Console and GA4 numbers
To the question “how many people are looking for you”, the investor wants a number. Search Console gives impressions and clicks; GA4 gives visitor behaviour. These numbers only accumulate with a live website.
AI visibility: seeing the company in the answers
Like customers, investors ask AI tools. If the company is not in the answers, it is a company the investor cannot see yet. AI-SEO-friendly content, structured data and FAQ blocks are the means to that visibility.

Series A and Series B are the rounds in which a company has proven its product and moves into growth. The Mega Fund’s focus on these rounds shows that it targets the growth stage, not the seed stage. For a newly founded company this means one thing: to be a candidate for the Mega Fund, you first need a product, customers and measurable data.
